1. Heard Sri R. K. Ojha, learned Senior counsel appearing on behalf of applicants/petitioners.
2. This is an application to carry out necessary amendment in the memo of parties.
3. Learned Counsel appearing on behalf of respondents has no objection if the amendment application is allowed.
4. The reasons shown in the affidavit filed in support of application to amend the memo of parties, are found to be sufficient.
5. Application is allowed.
6. Learned Senior counsel appearing on behalf of applicants/petitioners is directed to carry out necessary amendment in the memo of parties during the course of the day. Order on Writ Petition:-
1. The instant writ petition has been filed with the following prayers:- "(A)- Issue a writ, order of direction in the nature of Certiorari quashing the impugned order dated 27.01.2025 (Annexure No. 1 to this writ petition) passed by the Deputy Registrar, Firms, Societies & Chits, Agra i.e. respondent no. 2."
2. Sri R. K. Ojha, learned senior counsel appearing on behalf of petitioners submitted that bye-laws of the society has been amended and said amendment was to be registered by the Deputy Registrar, Firms Societies & Chits, Agra i.e. respondent no.2. on 18.11.2024. Learned Senior counsel submitted that just after the said amendment the opposite party i.e. respondent no.3 has conducted the election on 08.12.2024 and the same was registered on 11.12.2024 by Respondent no.2.

Sri Ojha, learned Senior counsel submitted that the petitioners have filed the objection before respondent no.2 and the said objection was rejected merely on the ground that since one writ petition bearing No.21952 of 2024 in which the earlier election was under challenged before this Court, therefore, the objection shall not be decided. Learned Senior counsel fairly conceded and submitted that since the objection has not been decided by the Deputy Registrar concerned on merits, therefore, he may be directed to decide the same on merits without taking into consideration the pendency of any writ petition before this Court.

Per contra, Sri Prabhakar Awasthi, learned counsel appearing on behalf of respondent no.3 vehemently opposed the instant writ petition but has fairly conceded the submissions made by learned senior counsel appearing on behalf of petitioners that the impugned order passed without entering into the merits by the Deputy Registrar concerned, only on the pretext that some writ petition bearing no. 21952 of 2024 is pending before this Court. It is fairly submitted by Sri Awasthi that Deputy Registrar concerned may be directed to pass a reasoned order only considering the objection on merits regarding amendment.

Ojha, learned Senior counsel appearing on behalf of petitioners, Sri Ashish Kumar Dubey, learned Standing Counsel for the State-respondents, Sri Prabhakar Awasthi, learned counsel appearing on behalf of respondent no.3 and perused the impugned order. The Deputy Registrar, Firms, Societies & Chits, Agra i.e. respondent no. 2 has passed the impugned order dated 27.01.2025 with the reasons as given below:- ककरकरलर कक सतर सक उक सससथक कक पतकवलल मम ववसततत आदकश वदनकसक 27.05.2024 " ववरद मकननलर उचच रकरकलर मम रकवचकक ससखरक पकररत वकरक गरक हह। जजसकक वतरमकन मम ववचकरकधलन हह। ककरकरलर कक दकरक पबसध सवमवत कक ससचल वरर वदनकसक 13.06.2024 2024-25 वदनकसक कक 27.05.2024 कक ककरकरलर कक दकरक शल वहमकर वतवकरल कक दकरक पसततत ककररवकवहरय कक सवलककर करतक हहए पबसध सवमवत कक ससचल वरर 2024-25 पसजलकत त कक गरल हह। ततपशचकत शल वहमकर वतवकरल कक दकरक पसततत कक गरल ससशकजधत वनरमकवलल तथक वनवकरचन वदनकसक कक पबसध सवमवत कक ससचल वरर 2024- 08.12.2024 25 पसजलकत त कक जक चतकक हह। वतरमकन मम सससथक कक पकरण मक० उचच नरकरकलर मम रकजजत कक आधकर पर वदनकसक 11.12.2024 कक पसजलकत त वकरक गरक हह तथक रकवचकक ससखरक 21952/2024 ववचकरकधलन हह अतत शल कत षण कत मकर दलवकत एवस अनर कक दकरक पसततत कक गरल आपजतरय पर पतनववरचकर वकरक जकनक कक ककतकजधककर अधकहसतककरल मम वनवहत नहल हह जहकस तक शल गकपकल शमकर शल अमबरलश शमकर कक दकरक ककरकरलर मम वदनकसक 09.01.2025 कक मकनर वकरक जकनक कक ववरर हह उक कक कम मम अवगत करकनक हह वक पकरण मक० उचच नरकरकलर मम रकवचकक ससखरक 21952/2024 सक आचछकवदत हकनक कक ककरण पतकवलल पर अधकहसतककरल कक सतर सक ककई भल ककररवकहल वकरक जकनक अपकवकत नहल हह। तदनतसकर वशककरतल पकरण वनककवपत कर वनसतकररत वकरक जकतक हह।" कक पसततत वनवकरचन ककररवकहल वदनकसक 31.12.2024

After perusing the aforesaid order, I find that the Respondent No.2 the Deputy Registrar, Firms Societies & Chits, Agra has rejected the objection of the petitioner assigning the reasons of pendency of the writ petition before this Court without taking into consideration the objection on merits. The pendency of the said writ petition before this Court is only qua the elections of the society on earlier occasion and that is not subject matter of the writ petition of any amendment of the Rules and bye-laws, therefore, the reasons which has been given by the Deputy Registrar concerned while deciding the objection are contrary to the facts and pleadings.
7.Taking into consideration all the aforesaid reasons, I am of the view that the impugned order dated 27.01.2025 is liable to be set aside and is hereby set aside with direction to the Respondent No.2 the Deputy Registrar, Firms Societies & Chits, Agra to pass appropriate and reasoned order on the objection which has been filed by the petitioners for amending the bye-laws, after hearing all the effected parties, expeditiously, preferably within a period of six weeks from the date of receipt of certified copy of this order.

Ojha, learned senior counsel appearing on behalf of petitioners submitted that bye-laws of the society has been amended and said amendment was to be registered by the Deputy Registrar, Firms Societies & Chits, Agra i.e. respondent no.2. on 18.11.2024. Learned Senior counsel submitted that just after the said amendment the opposite party i.e. respondent no.3 has conducted the election on 08.12.2024 and the same was registered on 11.12.2024 by Respondent no.2.

Sri Ojha, learned Senior counsel submitted that the petitioners have filed the objection before respondent no.2 and the said objection was rejected merely on the ground that since one writ petition bearing No.21952 of 2024 in which the earlier election was under challenged before this Court, therefore, the objection shall not be decided. Learned Senior counsel fairly conceded and submitted that since the objection has not been decided by the Deputy Registrar concerned on merits, therefore, he may be directed to decide the same on merits without taking into consideration the pendency of any writ petition before this Court.

Per contra, Sri Prabhakar Awasthi, learned counsel appearing on behalf of respondent no.3 vehemently opposed the instant writ petition but has fairly conceded the submissions made by learned senior counsel appearing on behalf of petitioners that the impugned order passed without entering into the merits by the Deputy Registrar concerned, only on the pretext that some writ petition bearing no. 21952 of 2024 is pending before this Court. It is fairly submitted by Sri Awasthi that Deputy Registrar concerned may be directed to pass a reasoned order only considering the objection on merits regarding amendment.

After perusing the aforesaid order, I find that the Respondent No.2 the Deputy Registrar, Firms Societies & Chits, Agra has rejected the objection of the petitioner assigning the reasons of pendency of the writ petition before this Court without taking into consideration the objection on merits. The pendency of the said writ petition before this Court is only qua the elections of the society on earlier occasion and that is not subject matter of the writ petition of any amendment of the Rules and bye-laws, therefore, the reasons which has been given by the Deputy Registrar concerned while deciding the objection are contrary to the facts and pleadings.
7.Taking into consideration all the aforesaid reasons, I am of the view that the impugned order dated 27.01.2025 is liable to be set aside and is hereby set aside with direction to the Respondent No.2 the Deputy Registrar, Firms Societies & Chits, Agra to pass appropriate and reasoned order on the objection which has been filed by the petitioners for amending the bye-laws, after hearing all the effected parties, expeditiously, preferably within a period of six weeks from the date of receipt of certified copy of this order.
