THIS PETITION, COMING ON FOR ORDERS, THIS DAY, ORDER WAS MADE THEREIN AS UNDER: - 4 - NC: 2026:KHC:5294 WP No. 2209 of 2026 HC-KAR CORAM: HON'BLE MR. JUSTICE M.NAGAPRASANNA ORAL ORDER Petitioners are before this Court seeking the following prayers: "Wherefore, the Petitioners pray that this Hon'ble Court may be pleased issue a Writ of Certiorari quashing the following: a. Complaint dated 27/03/2024 lodged by the 2nd Respondent. (Annexure - A); b. First Information Report in Crime No.0226/2024 registered by the 1st Respondent / Banaswadi Police Station against the 2nd Petitioner for the offences punishable under Sections 354, 323 and 504 of the IPC, 1860, on the file of the Hon'ble XI Additional Chief Judicial Magistrate, Bengaluru, qua the Petitioner. (Annexure - A1). c. Chargesheet filed by the Respondent No.1 / Banaswadi Police in Crime No.226/2024 against the Petitioners for the offences punishable under Section Sections 498A, 509, 354, 323, 504 read with Section 34 of the Indian Penal Code, 1860 in C.C. 61715/2024, pending on the file of the XI Additional Chief Judicial Magistrate, Mayo Hall, Bengaluru. (Annexure - A2); d. Entire proceedings in C.C. 61715/2024, pending on the file of the XI Additional Chief Judicial Magistrate, Mayo Hall, Bengaluru (Annexure - A3). AND pass such other or further orders as this Hon'ble Court may deem fit in the facts and circumstances of the case, in favour of the Petitioners, in the interest of Justice."

2. Heard Sri.Arun Govindraj, learned counsel appearing for the petitioners, K.Nageshwarappa, learned HCGP - 5 - NC: 2026:KHC:5294 WP No. 2209 of 2026 HC-KAR appearing for the respondent No.1, Sri.C.M.Mahesh, learned counsel appearing for respondent No.2 and have perused the material on record.

3. In W.P.No.5453/2025, between the same parties, the matter was referred to mediation and settlement has been arrived at before the mediation. One of the conditions set-out in the Memorandum of Settlement is closure of the present proceedings. The settlement in so far as its term for the present, reads as follows: “…. …. ….

9. In view of the settlement arrived to between the parties the respondent has agreed to withdraw the following cases:- a) b) O S No.1386/2024 filed for permanent injunction with respect of usage of Trade Mark of Sowthu Ventures Pvt. Ltd., pending before City Civil and Sessions Court, CCH:10, Bengaluru. before Family O P No.886/2024 filed for recovery of money pending Court, Thiruvananthapuram, Kerala. It is agreed between the parties that the mobile phone belonging to the petitioner deposited in Family Court can be handed over to the petitioner. c) O P No.316/2024 filed for divorce against the petitioner pending before Family Court, Thiruvananthapuram, Kerala. HC-KAR d) e) - 6 - NC: 2026:KHC:5294 WP No. 2209 of 2026 M C No.15/2024 filed under D.V Act, against the petitioner pending before ACJM., Thiruvananthapuram, Kerala. agreed respondent The assist/cooperate in closing/quashing C.C No.61715/2024 in toto filed under Sections 498-A, 509, 354, 323, 504 r/w section 34 of IPC filed against the petitioner, petitioner's parents, which is pending before 11th ACJM, Mayohall, Bengaluru before the appropriate court of law.

10. Both the parties have agreed that all or any other Proceedings initiated by the parties against each other and their respective family members apart the cases mentioned above shall be withdrawn. If the same is not withdrawn by either of the parties the said cases can get dismissed automatically by virtue of this settlement.

11. The Petitioner and the Respondent are Directors of a company named Sowthu Ventures Pvt. Ltd. The parties agree that the Respondent will resign from her position as Director once all legal requirements for her resignation are completed, and there are no remaining liabilities or obligations against her related to the company. The Respondent also agrees to transfer her shares in the company to the Petitioner or his nominee/assignee, without receiving any payment in return. The Respondent will resign and transfer her shares once the Petitioner deposits Rs. 25,00,000/- in a Fixed Deposit enabling her to withdraw interest as narrated above. Additionally, the parties agree that if either of them incurred any liability with regard to the company without the other's knowledge, that liability will not be the responsibility of the other party/company and will not be binding on them.

Both Parties confirm, declare and agree that the allegations made by them against each other in any legal or quasi-legal proceedings as hereinbefore listed or in any other public forum/platform shall - 7 - NC: 2026:KHC:5294 WP No. 2209 of 2026 HC-KAR stand withdrawn in view of the above settlement. It is further agreed by both the parties that they will not publish any statements in this regard in any local media or in any public platforms.

13. The Parties agree to co-operate with each other and execute all documents necessary for the fulfilment of the terms stated hereinabove.

14. The Parties agree that either or both of them shall be entitled to produce a copy of this settlement in all legal proceedings and/or quasi legal proceedings that are pending and seek appropriate closure of all such proceedings.”

4. In that light, the following: O R D E R [I] Writ Petition is disposed. [II] Complaint dated 27.03.2024 vide Annexure-A; First Information Report and Charge sheet in Crime No.0226/2024 vide Annexures-A1 and A2; entire proceedings in C.C.61715/2024 pending on the file of the XI Additional Chief Judicial Magistrate, Mayo Hall, Bengaluru, vide Annexure A3, qua the petitioners stand quashed.
