AssociatesCOMMON ORDERThese applications have been filed under Section 9 of the Arbitration and conciliation Act, 1996, (for brevity hereinafter referred to as the “Act”) for an interim injunction restraining the 1st respondent from seizing the vehicles more fully described in the schedule of property attached to the judges summons in each of the applications.2.These applications came up for hearing on 20.03.2025 and this Court on hearing both sides, passed the following order:-Learned counsel for the respondent, on instructions would submit that the price disclosed by the applicants with regard to the sale of 56 vehicles through their affidavit dated 19.03.2025 is agreeable by the respondent, provided, the sale price is received by the respondent https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchwithin a short time. 2.Learned Senior Counsel for the applicants would submit that some of the prospective buyers are agreeable to pay the sale price immediately but they sought time to make payment of the entire sale consideration. Under those circumstances, six weeks time is sought for by the applicants to deposit the sale proceeds received from the prospective buyers for 56 vehicles with the applicants. 3.Learned counsel for the respondent would submit that on payment of sale proceeds in respect of 56 vehicles, the respondent requires three weeks time for issuing NOC in favour of the prospective buyers for cancelling the hypothecation endorsement. 4.Both the counsels would submit that they will be meeting today along with their respective clients for arriving at the modalities of the interim arrangement to be recorded by this Court. 5.It is represented by both the counsels that the interim arrangement to be recorded by this Court shall be without prejudice to the rights and contentions of the respective parties in the arbitration. Post the matter on 01.04.2025. 3.The applications were again listed for hearing on 01.04.2025 and the following order came to be passed by this Court:-Learned Senior counsel appearing for the applicant would submit on instructions that subsequent to the order dated 20.03.2025, the parties met and tried to arrive at a modality of the settlement. However, they were unable to reach an understanding through the said meeting. 2. Learned counsel appearing for the respondents would submit that even today, the respondents are abiding by the undertaking given before this Court which is recorded by this Court in the earlier order dated 20.03.2025. https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batch3. Learned counsel appearing for the applicant would also submit that in the interregnum period, between the order dated 20.03.2025 and today, certain payments were made by the applicant to the respondents towards the dues payable in respect of two loan contracts, which are the subject matter of these applications. The same is also admitted by the learned counsel for the respondents on instructions, however, he seeks further time to get instructions as to whether the said payments were made towards full and final settlement or not. 4. Six weeks period sought for by the applicant which has been recorded by this Court in its order dated 30.03.2025 for selling the vehicles and giving the sale proceeds to the respondent expires only in the month of May, 2025. Since May is a vacation period, post the matter on 04.06.2025. 4.Pursuant to the above order, it was brought to the notice of this Court that fourteen hypothecated vehicles were already sold and the sale proceeds were paid to the respondents and further time was sought for selling the remaining vehicles.5.Out of 132 vehicles, 34 vehicles were sold and the sale proceeds was handed over to the respondents. Remaining 98 vehicles are in possession of the applicant. 6.The learned Senior counsel appearing on behalf of the applicant submitted that the respondents are making an exorbitant https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchclaim in this case and the claim is also barred by limitation and therefore, the respondents do not have any right to seize the remaining vehicles from the applicant. The learned Senior counsel further submitted that the remaining 98 vehicles, are in possession of the applicant.7.Per contra, the learned counsel for the 1st respondent submitted that the dispute can be resolved before the Arbitrator.8.This Court suggested to the learned counsel appearing on either side that an arbitrator can be appointed by this Court to deal with the dispute between the parties. The learned senior counsel appearing on behalf of the applicant submitted that the claim made by the 1st respondent is hopelessly barred by limitation and therefore, the reference cannot be made to the Arbitrator. To substantiate his submission, the learned senior counsel relied upon the judgement of the Apex Court in [B & T AG v. Union of India] reported in 2024 5 SCC 358.9.The learned counsel appearing on behalf of the 1st respondent refuted the above submission and contended that the https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchclaim made by the 1st respondent is within limitation and the same is not barred by limitation. 9.I had an occasion to deal with the above judgement and also all the earlier judgements on the point and passed an order in Arb OP (Comm.Div.) No.319 of 2025 dated 16.09.2025 and the relevant portions are extracted hereunder:-28. The result of the discussions is that the wheel has now come a full circle. The test formulated by the Hon-ble Supreme Court in the decision in Duro Felguera, S.A., departed from the decision of the Hon-ble Supreme Court in Hyundai Engineering & Construction Co. Ltd., has now been reinstated in the decision of the Hon-ble Supreme Court in Re: Interplay between Arbitration Agreements under the Arbitration and Conciliation Act 1996 and The Indian Stamp Act, 1899. Consequently, it must follow that the jurisdiction of the Court under Section 11(6A) is confined to examining the existence of an arbitration agreement. Nothing more and nothing less. 29. As the Hon-ble Supreme Court pointed out in the decision in Managing Director Bihar State Food and Civil Supply Corporation Limited, it is just as necessary to follow a precedent as it is to make one. The objections of the respondent on grounds of limitation and accord and satisfaction must, therefore, necessarily await adjudication before the Arbitral Tribunal.10.In view of the above, even insofar as the ground of https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchlimitation is concerned, it can only be raised before the Arbitrator and the same cannot be gone into by this Court while dealing with an application under Section 11 of the Act.11.Considering the fact that the remaining 98 vehicles are in possession of the applicant, they are directed to retain the possession of the vehicles till the disposal of the arbitration proceedings. The parties are common in all these applications. However, since they are governed by forty eight independent agreements, separate applications have been filed. All the agreements can be consolidated and the dispute can be referred to an Arbitrator. AssociatesCOMMON ORDERThese applications have been filed under Section 9 of the Arbitration and conciliation Act, 1996, (for brevity hereinafter referred to as the “Act”) for an interim injunction restraining the 1st respondent from seizing the vehicles more fully described in the schedule of property attached to the judges summons in each of the applications.2.These applications came up for hearing on 20.03.2025 and this Court on hearing both sides, passed the following order:-Learned counsel for the respondent, on instructions would submit that the price disclosed by the applicants with regard to the sale of 56 vehicles through their affidavit dated 19.03.2025 is agreeable by the respondent, provided, the sale price is received by the respondent https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchwithin a short time. 2.Learned Senior Counsel for the applicants would submit that some of the prospective buyers are agreeable to pay the sale price immediately but they sought time to make payment of the entire sale consideration. Under those circumstances, six weeks time is sought for by the applicants to deposit the sale proceeds received from the prospective buyers for 56 vehicles with the applicants. 3.Learned counsel for the respondent would submit that on payment of sale proceeds in respect of 56 vehicles, the respondent requires three weeks time for issuing NOC in favour of the prospective buyers for cancelling the hypothecation endorsement. 4.Both the counsels would submit that they will be meeting today along with their respective clients for arriving at the modalities of the interim arrangement to be recorded by this Court. 5.It is represented by both the counsels that the interim arrangement to be recorded by this Court shall be without prejudice to the rights and contentions of the respective parties in the arbitration. Post the matter on 01.04.2025. 3.The applications were again listed for hearing on 01.04.2025 and the following order came to be passed by this Court:-Learned Senior counsel appearing for the applicant would submit on instructions that subsequent to the order dated 20.03.2025, the parties met and tried to arrive at a modality of the settlement. However, they were unable to reach an understanding through the said meeting. 2. Learned counsel appearing for the respondents would submit that even today, the respondents are abiding by the undertaking given before this Court which is recorded by this Court in the earlier order dated 20.03.2025. https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batch3. Learned counsel appearing for the applicant would also submit that in the interregnum period, between the order dated 20.03.2025 and today, certain payments were made by the applicant to the respondents towards the dues payable in respect of two loan contracts, which are the subject matter of these applications. The same is also admitted by the learned counsel for the respondents on instructions, however, he seeks further time to get instructions as to whether the said payments were made towards full and final settlement or not. 4. Six weeks period sought for by the applicant which has been recorded by this Court in its order dated 30.03.2025 for selling the vehicles and giving the sale proceeds to the respondent expires only in the month of May, 2025. Since May is a vacation period, post the matter on 04.06.2025. 4.Pursuant to the above order, it was brought to the notice of this Court that fourteen hypothecated vehicles were already sold and the sale proceeds were paid to the respondents and further time was sought for selling the remaining vehicles.5.Out of 132 vehicles, 34 vehicles were sold and the sale proceeds was handed over to the respondents. Remaining 98 vehicles are in possession of the applicant. 6.The learned Senior counsel appearing on behalf of the applicant submitted that the respondents are making an exorbitant https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchclaim in this case and the claim is also barred by limitation and therefore, the respondents do not have any right to seize the remaining vehicles from the applicant. The learned Senior counsel further submitted that the remaining 98 vehicles, are in possession of the applicant.7.Per contra, the learned counsel for the 1st respondent submitted that the dispute can be resolved before the Arbitrator.8.This Court suggested to the learned counsel appearing on either side that an arbitrator can be appointed by this Court to deal with the dispute between the parties. The learned senior counsel appearing on behalf of the applicant submitted that the claim made by the 1st respondent is hopelessly barred by limitation and therefore, the reference cannot be made to the Arbitrator. To substantiate his submission, the learned senior counsel relied upon the judgement of the Apex Court in [B & T AG v. Union of India] reported in 2024 5 SCC 358.9.The learned counsel appearing on behalf of the 1st respondent refuted the above submission and contended that the https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchclaim made by the 1st respondent is within limitation and the same is not barred by limitation. 9.I had an occasion to deal with the above judgement and also all the earlier judgements on the point and passed an order in Arb OP (Comm.Div.) No.319 of 2025 dated 16.09.2025 and the relevant portions are extracted hereunder:-28. The result of the discussions is that the wheel has now come a full circle. The test formulated by the Hon-ble Supreme Court in the decision in Duro Felguera, S.A., departed from the decision of the Hon-ble Supreme Court in Hyundai Engineering & Construction Co. Ltd., has now been reinstated in the decision of the Hon-ble Supreme Court in Re: Interplay between Arbitration Agreements under the Arbitration and Conciliation Act 1996 and The Indian Stamp Act, 1899. Consequently, it must follow that the jurisdiction of the Court under Section 11(6A) is confined to examining the existence of an arbitration agreement. Nothing more and nothing less. 29. As the Hon-ble Supreme Court pointed out in the decision in Managing Director Bihar State Food and Civil Supply Corporation Limited, it is just as necessary to follow a precedent as it is to make one. The objections of the respondent on grounds of limitation and accord and satisfaction must, therefore, necessarily await adjudication before the Arbitral Tribunal.10.In view of the above, even insofar as the ground of https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchlimitation is concerned, it can only be raised before the Arbitrator and the same cannot be gone into by this Court while dealing with an application under Section 11 of the Act.11.Considering the fact that the remaining 98 vehicles are in possession of the applicant, they are directed to retain the possession of the vehicles till the disposal of the arbitration proceedings. The parties are common in all these applications. However, since they are governed by forty eight independent agreements, separate applications have been filed. All the agreements can be consolidated and the dispute can be referred to an Arbitrator. If according to the applicant, the claim made by the 1st respondent is barred by limitation, the same can be raised as a preliminary issue before the Arbitrator and it will be considered on its own merits and in accordance with law.12.In view of the above, Mr.P.J.Rishikesh, Advocate, residing at 10A, 14th Avenue, Harrington Road, Chetpet, Chennai 600 031 Contact N.9841188677 email id [email protected], is appointed as the sole Arbitrator and the Arbitrator is requested to adjudicate the dispute that has arisen between the parties by https://www.mhc.tn.gov.in/judis OA No. 129 of 2025 etc., batchholding the sittings in any venue in Chennai to the convenience of all concerned and render an award. While fixing the fees under Schedule IV, the consolidated amount arising out of all the agreements shall be taken into consideration and the fees shall be fixed by the learned Arbitrator. 13.All these applications are disposed of in the above terms.
