Crl.P.No.1 1278 of 2025 is filed by the petitioner _ accused No.3 seeking to quash the proceedings in C.C.No 67 of 2022 onthe file of the learned Special Judge for Trial Cases unoer Economic Offences, CBI Court Complex, Nampally at Hyderabad, registered for the offence under Sectron 7(6) read with Section 447 of the Companies Act, 2013.

Since the petitioner is the accused No.3 in all the petitions, they are heard together and disposed off by way of this common order Heard the submissions of Sri L Harish, learred counsel ) l "t \ I representing Sri Praveen Kumar Challa, learned counsel for the petitioner and Sri B.Narasimha Sharma, learned Additional Solicitor General of lndia for respondent No.2 and Sri R.R.Mangulal, learned Standing Counsel for respondent No.2 in Crl P. No. 1 1273 of 2025

The learned petitioner counsel has submitted that the allegations do not attract the ingredients of Section 7(6) of the Companies Act, 2013 and that accused No.3 is the Company Secretary and accused No.4 is the Company. He further submitted that the allegations that the company is not functioning at the given address and that it is not doing any software business as mentioned by it during its registration and that they are conducting fraudulent transactions is all false. He further submitted that none of the victims have given a complaint, therefore question of deceiving anybody does not arise He further submitted that the said allegations do not point out any offence agalnst the petitioner who is accused No.3. He therefore, prayed to quash the proceedings against the petitioner.

The learned Additional Solicitor General of lndia has submitted that the petitioner herein is the Company Secretary and there is legal foundation for the alleged offences and the prima facie contents of the complaint do attract the offences against the l - petitioner. He further submitted that by virtue of the Orders by the Government of lndia, Ministry of Corporate Affairs (MCA), accused No.4 company was ordered for lnquiry by the Minist:y vide its letter dated 03.09.2 021 to inquire into the sustained rnvolvement of Chinese Nationals in fraudulent and money launcJering activities through companies registered in lndia An lnquiry Officer was appointed to visit the registered office of these cornpanies and in the instant case, one such company being the A4 company has been incorporated with the involvement of Chinese Nationals who were operating fake websites and using telegram app to defraud innocent victims. lt is has been reported that they created 12 companies and one such company is the 44 company and instructed locals/Directors to open bank accounts of these fake companies, which were controlled by the Chinese nationals. lt was furlher found on verification that the practicing company secretary (PCS) has certified the location of registered office cf the company showing at a place mentioned against the name of their company respectively. He further certified and signed the incorporation documents (SPICE), DIN application, situation of registered office submitted through online MCA portal by stating tha: 'any false or incorrect particulars of any information or supprcsslo n of any material information shall attract punishment for frauT section 441, I \ 6 448 and 449 of the Companies Act, 2013 which provide for false statement and for false evidence respectively and I shall be liable for action under Section 448 of the Companies Ad, 2A13 for wrong cedification, if any found at any stage". Thus, the learned ASG has \ \.1 prayed to dismiss the petition

13. Perused the record.

14. lt is pertinent to refer Section 7(6) and 447 of lhe Companies Act, 201 3 and the same is extracted hereunder "7. lncorporation of company - (6) Without prejudice to the provisions of sub-section (5) where, at any time after the incorporation of a company, it is proved that the company has been got incorporated by furnishing any false or incorrect informatron or representation or by suppressing any material fact or information in any of the documents or declaration filed or made for incorporating such company, or by any fraudulent action, the promoters, the persons named as the first directors of the company and the persons making declaration under clause (b) of sub-section(1) shall each be liable for action under section 447." "447. Punishment for fraud - Without prejudice to any liability including repayment of any debt under this Act or any other law for the time being in force, any person who is found to be guilty of fraud, involving an amount of at least ten lakh rupees or one per cent. of the turnover of the company, whichever is lower shall be punishable with imprisonment for a term which shall not be less than six months but which may extend to ten years and shall also be liable to fine which shall not be less than the amount involved in the fraud, but which may extend to three times the amount involved in the fraud: Provided that where the fraud in question involves public interest, the term of imprisonment shall not be less than three years. Provided further that where the fraud involves an amount less than ten lakh rupees or one per cent. of the turnover of the company, whichever is lower, and does not involve public interest, any person guiity of such fraud shall be punishable with imprisonment for a term I 7 .../ { which may extend to five years or with fine which may extend to fifty lakh rupees or with both. Explanation. -For the purposes of this section- (i) "fraud", in relation to affairs of a company or anybodv corporate, includes any act, omission, concealment of any fact or abuse of position committed by any person or any other person with the connivance in any manner, with intent to deceive, to gain undue advantage from, or to injure the interests of, the company or its shareholders or its creditors or any other person, whether or not there is any wrongful gain or wrongful loss; (ii) "wrongful gain" means the gain by unlawful means of property to which the person gaining is not legally enti ed; (iii) "wrongful loss" means the loss by unlawful means of property 1o which the person losing is legally entifled."

15. The record points out serious allegations against the petitioner herein. The petitioner is accused No.3, is alleged to have t certified the certificates of incorporation of accused No.4 company. It is further alleged that he has created certain dummy accounts and diverted the amounts into the said account. lt is firrther alleged \ that the accused No.4 Company is not carrying out its business at the registered address and also not carrying out the activities as mentioned under its registration. lt is also alleged that accused No.3 has made his family members/colleagues as Cirectors i.e. accused Nos. l and 2 in the accused No.4 company with an intention to defraud the gullible investors to facilitate the Chinese nationals to be ultimate beneficiaries.
